NY Publication Desk

New York LLC publication, done for you

Est. 2026, Williamsville, New York

A private filing service. Not the New York Department of State, not a law firm, and not legal advice.

The fine print, in plain words

Terms, privacy, and refunds.

01

Who we are

NY Publication Desk is a trade name of Falls Road Advisory Group LLC, a New York limited liability company. A private filing service. Not the New York Department of State, not a law firm, and not legal advice. Nothing we publish or send is legal advice, and using this service does not create an attorney-client relationship with anyone.

02

The service

For the publication service, we verify your LLC against the Department of State record; place your publication notice once a week for six successive weeks in each of the two newspapers designated by the clerk of the county of publication; collect the affidavits of publication; file the Certificate of Publication with the Department of State with expedited handling; and deliver the filed proof to you by email. The published notice uses the state record exactly as the state holds it. If information you provide conflicts with the record, the record governs, and we will tell you before anything is placed.

03

Your authorization

The appointment, in full

I am a member or manager of the LLC, or I am otherwise authorized to act for the LLC in this matter. I appoint NY Publication Desk, operated by Falls Road Advisory Group LLC, as an authorized person of [LLC exact legal name] for the sole purpose of signing and filing the Certificate of Publication for the LLC with the New York Department of State, including assembling and filing it with the affidavits of publication. I understand that, when NY Publication Desk signs the Certificate of Publication, its signature certifies, under penalties of perjury, that the published notice contains the information Section 206 requires and that the newspapers are the papers designated by the county clerk. If I selected the Albany route, I also authorize NY Publication Desk to prepare, sign, and file a Certificate of Change moving the LLC's county on the Department of State record to Albany County before publication, so the notice can be published in Albany County. I understand the Certificate of Change changes the county shown on the state record, that publication then runs in Albany County, and that the county can be changed back afterward for a separate fee. I understand NY Publication Desk is a private filing service, not the New York Department of State, and that it is not a law firm and does not give legal advice.

04

Price and payment

The publication service is $399 flat for publication on the Albany route or in a county we serve in-county at the flat price, as described on the county page. The price includes both newspapers' six-week runs, both affidavits, the state's $50 Certificate of Publication fee, the Certificate of Change fee if that route is used, and expedited handling on state filings. Publication in a high-cost county at your request is priced by written quote before any placement, and is not covered by the $399. Payment is collected in full by card when you order. Optional items, never bundled without your say: changing your county back after publication, $89; the compliance subscription, $149 a year, described below.

05

Timing

We do not guarantee filing dates. The six-week publication run is fixed by law, newspapers control their own schedules, and the Department of State controls its processing. Our estimates, based on the usual course of a job, are about ten weeks from order to filed proof for a job with no county change, and about twelve weeks for a job with one. If anything in your job slips (a paper misses a week, an affidavit is wrong, the state returns a filing), we tell you the same business day we learn of it, in plain words, with the fix and the revised expectation. If your order arrives too late for on-time filing, we say so before taking the job on those terms, and the job proceeds as a cure filing with your knowledge.

Refunds

Where the job standsRefund
Already filedIf our record check shows your Certificate of Publication is already on file, we refund the full $399 and send you the record.
Before any placement or filingFull refund.
After a Certificate of Change is filed, before any newspaper placementRefund of the $399 minus $55, the change cost already incurred.
After either newspaper is placedRefund minus the newspaper costs already paid and the state fees already incurred. The refund email itemizes every deduction.
After the Certificate of Publication is filedNo refund. The work is complete and the proof is delivered.

Refunds go to your original payment card. The ladder above turns on placement, so here is what placement means and how the edge cases work:

  • A placement counts as made when the first insertion runs. Before that moment, nothing has been spent on newspapers.
  • One paper placed, the other not. If one newspaper has been placed and the other has not, the refund is the $399 minus the placed paper's actual cost and any state fee already paid, itemized in writing.
  • The state rejects the filing. We correct and refile at our cost. If the filing cannot be cured, the refund is in full.
  • Information you supplied was wrong. Corrections that cost money (a new county change, a re-run) are charged at cost, with your written approval first. Fixes that cost nothing are free.
  • A newspaper misses an insertion. The paper corrects or extends the run at no cost to you. The same holds if a newspaper error forces a corrected affidavit or a restarted run: the correction cost is the newspaper's or ours, never yours.

The compliance subscription (optional)

Publication is one obligation. The optional compliance subscription keeps your state record current and your next filing on schedule. The renewal terms come first, in full:

TermWhat it says
Price$149 a year
RenewsOn the anniversary of your start date
Renewal noticeWe email you 15 to 45 days before your cancellation deadline, with a summary of the year's work and instructions on how to cancel
CancelAnytime, by email or the link in any billing email, effective at the end of the paid year
ConsentYou enroll only by choosing the subscription at order time; it is never bundled silently

While it runs, the subscription includes:

  • Biennial Statement filing in your due month
  • The $9 state fee included
  • Annual entity-status review
  • Monitoring of your state record
  • A reminder of your annual New York LLC tax filing fee obligation

Enrolling gives us your standing instruction and authorizes us to file your Biennial Statement when due and to file the DOS process address you have given us in writing, or the address already on the record if none is given.

We remind you about tax filing requirements, including the annual Form IT-204-LL filing fee. We do not prepare or file tax returns.

If you cancel, your cancellation confirmation includes your next biennial due month and your next reminder date, so nothing is lost by leaving.

08

What we never do

  • We never give legal advice, and we never hold ourselves out as the state, a newspaper, or a law firm.
  • We never prepare, sign, or file a tax form, and we never ask for your income figures.
  • We never sign your name, or type your name into a signature field, on any document.
  • We never publish your notice in a newspaper the county clerk did not designate.
09

Privacy: what we hold and why

We work from two sources. The first is the public record: your LLC's name, county, filing dates, and address for service of process, exactly as published by the Department of State. The second is what you give us at order: your name, email address, mailing address, the details you enter on the intake form, and your authorization. We use this information to run your publication job, to send you job mail (confirmation, a mid-run status, delivery, and a review request a week after delivery), and, if you subscribe, to track your deadlines.

We never ask for, and you should never send us, your Social Security number, your income figures, or your bank login details. This service does not need them. Card payments are processed by our payment processor; your payment is taken through the processor's checkout. We do not sell your information. We share job details only with the parties the job requires: the designated newspapers (the notice text and our contact details) and the Department of State (the filings). We keep each job's file (intake, record printout, placement confirmations, affidavits, the filed certificate, the state receipt, and our correspondence with you) as the record of the work. The filed certificate and the state receipt stay as the permanent record of the filing. The working papers around them (the intake, printouts, and correspondence) are deleted on your request, where the filing record allows. To ask what we hold about you, or to have your order information deleted where the filing record allows, email us at the address below.
